Terms of Service

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using our Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

We may, at our sole discretion, refuse to offer the Services to any person or entity and change the eligibility criteria for the Services at any time.

We reserve the right to modify these Terms at any time. We will provide notice of any material changes by posting the new Terms on our website and updating the "Last Updated" date.

Your continued use of the Services following the posting of revised Terms means that you accept and agree to the changes. You are expected to check this page frequently so you are aware of any changes.

Some features of our Services may require you to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for:

• Safeguarding your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account

We reserve the right to disable any user account at any time in our sole discretion, including if we believe you have violated these Terms.

Blastron AI provides artificial intelligence development and consulting services, including but not limited to custom AI agent development, integration services, process automation, and related consulting services.

We may change, suspend, or discontinue any aspect of the Services at any time, including the availability of any feature, database, or content. We may also impose limits on certain features or restrict your access to parts or all of the Services without notice or liability.

For services requiring custom development or consultation, additional terms may apply and will be specified in a separate agreement.

The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Blastron AI, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

Unless otherwise indicated, all logos, names, and other markers displayed on our Services are proprietary to Blastron AI and may not be used without our prior written permission.

We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for your personal or internal business purposes. This license does not include:

• Reselling or commercial use of the Services
• Distribution, public performance, or public display of the Services
• Modifying or creating derivative works based on the Services
• Using the Services in any way not expressly permitted by these Terms

For custom development services, ownership of intellectual property will be specified in a separate agreement. Unless otherwise agreed in writing, Blastron AI retains ownership of all intellectual property in our methodologies, pre-existing materials, and general know-how.

You agree not to use the Services:

• In any way that violates any applicable federal, state, local, or international law or regulation
• To transmit, or procure the sending of, any advertising or promotional material, including "spam" or other unsolicited communications
• To impersonate or attempt to impersonate Blastron AI, a Blastron AI employee, another user, or any other person or entity
• To engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Services
• To attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Services, the server on which the Services are stored, or any server, computer, or database connected to the Services
• To attack the Services via a denial-of-service attack or a distributed denial-of-service attack
• To use the Services for any purpose that is unlawful or prohibited by these Terms

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. BLASTRON AI EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Services will meet your requirements
• The Services will be uninterrupted, timely, secure, or error-free
• Results obtained from the use of the Services will be accurate or reliable
• Any errors in the Services will be corrected

Any material downloaded or otherwise obtained through the use of the Services is accessed at your own discretion and risk. You will be solely responsible for any damage to your computer system or loss of data that results from the download of any such material.

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL BLASTRON AI, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of or inability to access or use the Services
• Any conduct or content of any third party on the Services
• Any content obtained from the Services
• Unauthorized access, use, or alteration of your transmissions or content

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT PAID BY YOU TO BLASTRON AI FOR THE SERVICES DURING THE TWELVE (12) MONTH PERIOD PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY.

THE FOREGOING LIMITATIONS WILL APPLY EVEN IF YOU HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

You agree to indemnify, defend, and hold harmless Blastron AI, its officers, directors, employees, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) resulting from:

• Your violation of these Terms
• Your use of the Services
• Any content you submit, post, transmit, or make available through the Services
• Your violation of any rights of a third party

We may terminate or suspend your access to all or part of the Services, without notice, for any reason, including without limitation, breach of these Terms.

Upon termination, your right to use the Services will immediately cease. The following provisions shall survive termination: Intellectual Property Rights, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law, and any other provision that by its nature should survive termination.

For services provided under a separate agreement, termination provisions in that agreement will apply.

These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions.

Any legal action or proceeding relating to your access to or use of the Services shall be instituted exclusively in the federal or state courts located in Wyoming. You agree to submit to the jurisdiction of these courts and agree that venue in these courts is proper.
